Job summary

AJ Chambers US seeks an Intellectual Property Of Counsel – Trademark Litigation & Transactions in New York, with 10+ years of IP experience, to join as Of Counsel in a hybrid role.

The attorney will handle trademark litigation, IP due diligence for M&A, licensing and technology agreements, and provide broad IP counseling across disputes and transactions, with strong drafting and client-management skills and direct client exposure.

Qualifications

• 10+ years of law firm intellectual property experience.
• Active New York Bar admission.
• Meaningful experience handling both IP litigation and transactional IP matters.
• Experience providing IP support on M&A / mergers and acquisitions.
• Experience drafting and negotiating IP provisions in acquisition or purchase agreements.
• Experience with licensing and technology agreements.
• Strong understanding of intellectual property law across multiple IP rights.
• Strong drafting, negotiation, analytical and client-management skills.
• Ability to work independently across contentious and transactional matters.

Responsibilities

• Handle trademark litigation and intellectual property disputes
• Advise clients on trademark, copyright, patent and trade secret matters
• Support patent and trade secret litigation as appropriate
• Act as the IP specialist on M&A and other complex corporate transactions
• Identify and assess IP risks in acquisitions and other transactions
• Draft and negotiate IP provisions in purchase and acquisition agreements
• Draft, review and negotiate licensing agreements
• Advise on technology and commercial agreements
• Provide intellectual property counseling to corporate and commercial clients
• Advise on trademark portfolios and related IP matters
• Work directly with clients and other legal teams on cross disciplinary matters
• Exercise independent judgment and manage matters from inception through resolution or closing
