Taylor Hodson Staffing seeks an Investment Funds Senior Paralegal to support private investment fund formations, closings, secondary transactions, and fund restructurings at a leading law firm.

You will coordinate organizational documents, investor admissions, signature collection, and closing notices, while handling AML/KYC and transfer processes to ensure smooth deal execution.

Formación

• Bachelor’s degree or equivalent required; ABA-approved paralegal certificate or equivalent preferred.
• At least six years of paralegal experience, preferably in a law firm, with investment funds and complex transactions.
• Strong knowledge of private fund formations, closings, secondary transactions, investor transfers, and related documentation and approvals.

Responsabilidades

• Support private investment fund formations and closings, including organizational documents, investor admissions, signature collection, approvals, and closing notices.
• Coordinate GP-led and LP-led secondary transactions, including transfer documentation, investor elections, rollovers, consents, ROFR requirements, and AML/KYC processes.
• Assist with fund restructurings and liquidity transactions, coordinating due diligence, virtual data rooms, third-party consents, lender notifications, and closing and post-closing requirements.
• Collaborate with attorneys, clients, investors, fund administrators, and counterparties while maintaining confidentiality of sensitive information.

An established law firm is seeking an Investment Funds Senior Paralegal to support private investment fund formations, closings, secondary transactions, and fund restructurings. This role will work closely with attorneys, clients, investors, and other transaction participants to coordinate fund documentation, investor admissions, transfer processes, approvals, and closing requirements.

Key Responsibilities

• Support private investment fund formations and closings, including organizational documents, investor admissions, signature collection, approvals, and closing notices.
• Coordinate GP-led and LP-led secondary transactions, including transfer documentation, investor elections, rollovers, consents, ROFR requirements, and AML/KYC processes.
• Assist with fund restructurings and liquidity transactions, coordinating due diligence, virtual data rooms, third-party consents, lender notifications, and closing and post-closing requirements.
• Collaborate with attorneys, clients, investors, fund administrators, and counterparties while maintaining the confidentiality of sensitive and proprietary information.

Qualifications

• Bachelor’s degree or equivalent, along with a paralegal certificate from an ABA-approved program or equivalent qualifying credentials.
• At least six years of paralegal experience, preferably within a law firm, with experience supporting investment funds and complex transactions.
• Strong knowledge of private fund formations, fund closings, secondary transactions, investor transfers, and related documentation and approval processes.
• Excellent organizational, analytical, and quality-control skills, with advanced proficiency in legal technology and the ability to manage complex workstreams with minimal supervision.
