What it's about

We are looking for an investment funds lawyer to join our Structuring Solutions team out of Partners Group’s New York office and contribute to a wide variety of client offerings, focusing on commingled fund structures and separate accounts for our clients in the Americas. Partners Group’s Structuring Solutions team is responsible for developing highly innovative investment structures for institutional and private investors globally. At Partners Group, the Structuring Solutions team plays a pivotal role in fund strategy and development, as well as ongoing servicing and maintenance. Structuring Solutions team members work closely with the firm’s client relations, investment and operations teams, as well as directly with clients, to deliver market-leading private markets product solutions.

Responsiblities:

• Efficiently managing the design, development, and implementation of innovative structuring solutions in the Americas and beyond, primarily customized separate accounts for insurance companies, pension plans and retirement accounts.
• Leading side letter negotiations with clients investing in traditional commingled funds, including drafting and operationalizing side letters and negotiating directly and independently with clients and their external counsel.
• Leading the launch of customized separate account solutions for international institutional investors, including drafting and negotiating long-form agreements (LPAs, IMAs, subscription agreements) with clients and their external counsel.

• Efficiently managing the end-to-end launch process for flagship fund offerings, encompassing initial planning with senior stakeholders and pre-marketing guidance, development of key documentation (LPAs, PPMs, subscription agreements) and fund entity setup, coordination of marketing registrations and prefinancing arrangements during launch, and ongoing management of fund governance (including document amendments and corporate actions post-launch).

• Ensuring compliance with applicable securities laws (including but not limited to Investment Advisers Act, Investment Company Act, AIFMD, MiFID) and considering tax efficiency within the context of delivering bespoke solutions for clients.
• Developing your own service catalogue with full ownership and high autonomy.
• Keeping abreast of regulatory/industry developments and providing periodic updates to internal parties.
• Supporting client-facing business development efforts by contributing to client meetings and presentations.

What we expect

• 7+ years of relevant work experience at a top law firm, bank or asset manager, preferably focused on fund formation and/or private markets investments.
• In depth knowledge of private fund structures for private equity, private real estate, private credit, royalties and private infrastructure, including limited partnership, LLCs, corporate entities, trusts, REITs, RICs, BDCs, rated note funds, etc.

• Strong understanding of Investment Company Act, Investment Advisers Act and tax considerations in the context of private fund offerings.

• Experience with insurance company investment requirements and/or structured rated note transactions highly desirable.
• Juris Doctor (JD) degree from an accredited law school.

• Member in good standing of a State Bar association.
• Excellent analytical, interpersonal and project management skills to manage multiple projects in parallel with a wide range of stakeholders.
• Ability to effectively communicate with both internal and external parties to meet ambitious fund formation timelines.

• Proficiency in reviewing and signing off on legal documents for more junior professionals.

• A genuine interest in investment markets and fund structures.
• Individuals who thrive in a fast-paced environment and demonstrate a strong bias for action.

• Team members who can prioritize effectively, meet tight deadlines consistently, and drive initiatives forward with appropriate urgency while maintaining quality and attention to detail.

• Partners Group compensation has a long-term outlook and philosophy, and our total compensation emphasizes performance based long term incentives. Base pay range for this role is $270,000 -$300,000, and a performance-based bonus are additional parts of the total compensation package.
