Illapa Search Ltd. is recruiting an Investment Funds Associate for our Chicago office. You will work on sophisticated fund formations and related transactions, advising leading sponsors, asset managers, and institutions across major markets.

You will negotiate fund documents and guide regulatory, governance, and investor issues throughout the fund lifecycle, working with experienced practitioners on high-profile matters within a globally connected practice.

Qualifications

• J.D. from an accredited law school with strong academic credentials.
• Admission to the Illinois Bar or eligibility to obtain admission.
• Experience in investment funds, private funds formation, or related corporate matters.
• Experience drafting fund documents such as LPAs, PPMs, subscription agreements, and side letters.
• Strong research, drafting, analytical and problem-solving skills.

A leading global law firm is seeking an Investment Funds Associate to join its Chicago office. This role offers the opportunity to work on sophisticated investment fund formations and related transactions, advising leading private equity sponsors, asset managers, institutional investors, and other financial market participants. The practice covers a broad range of private investment funds, including private equity, venture capital, credit, real estate, and other alternative investment strategies.

Associates will have the opportunity to work on complex fund structuring and formation matters, negotiate fund documentation, and advise clients on regulatory, governance, and investor-related issues throughout the fund lifecycle. Working alongside experienced practitioners on high-profile domestic and cross-border matters, successful candidates will gain meaningful client exposure and the opportunity to develop their technical expertise within a dynamic and internationally

connected practice.

Requirements:

• J.D. from an accredited law school and strong academic credentials.
• Admission to the Illinois Bar, or eligibility to obtain admission.
• Relevant experience in investment funds, private funds formation, private equity, or related corporate transactional matters.
• Experience drafting and negotiating fund documentation, including limited partnership agreements, private placement memoranda, subscription agreements, and side letters, is highly desirable.
• Familiarity with private equity fund structures, alternative investment vehicles, and the commercial considerations involved in fund formation and fundraising.
• Strong legal research, drafting, analytical, and problem-solving skills, with exceptional attention to detail.
