Qualifications

• 3–5 years of corporate or securities law experience at a sophisticated law firm
• Experience representing private investment funds, investment advisers, sponsors, institutional investors, or asset managers
• Experience with private fund formation, investment management, securities offerings, and corporate transactions
• Experience drafting and negotiating limited partnership agreements, operating agreements, subscription agreements, investment management agreements, side letters, and other fund-related documentation
• Experience advising clients on Investment Advisers Act, Investment Company Act, Securities Act, and other federal securities laws
• Experience conducting legal due diligence and supporting sophisticated corporate and investment transactions
• Strong drafting, analytical, negotiation, and client counseling skills
• J.D. from ABA-accredited law school and Illinois bar admission or eligibility

Responsibilities

• Represent private funds, investment advisers, sponsors, institutional investors, and asset managers on fund formation, securities, and regulatory matters
• Draft and negotiate fund-related documents (LPAs, operating agreements, subscription agreements, side letters)
• Advise clients on federal securities laws and related regulatory issues
• Support sophisticated corporate and investment transactions with due diligence and coordination with clients and senior attorneys
