Duties:

• Work on the formation and launch of hedge funds, advising clients ranging from institutional investors to emerging managers.
• Draft and review key hedge fund documents, including private placement memoranda, limited partnership agreements, investment management agreements, subscription documents, side letters, and separately managed account agreements.
• Provide guidance on regulatory compliance for hedge funds within the U.S.
• Assist in the negotiation of terms related to hedge fund structures, including investment management and operational agreements.
• Collaborate with senior associates and partners on fund formation matters and client relationships.
• Stay up-to-date on the latest developments in the hedge fund industry and relevant regulations.

Requirements:

• At least two years of experience in hedge fund formation or a similar practice area.
• Familiarity with hedge fund structures, regulatory compliance, and fund documentation.
• Experience drafting and reviewing fund offering documents, including private placement memoranda, limited partnership agreements, and investment management agreements.
• Understanding of U.S. regulations governing hedge funds.
• Prior experience with seed deals, hybrid funds, closed-end funds, or investor-side representation is beneficial, but not required.
• Ability to work in a fast-paced, collaborative environment.
• Strong attention to detail and exceptional organizational skills.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• Active membership in the Bar of the state.
