Job description

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Commercial Counsel to assist an emerging medical device client.
Overview: Our client seeks a skilled transactional attorney to assist with contract drafting and negotiation and securities filings.
Company: Our client is a medical device organization focusing on applications used in gastric surgeries.
Experience: Five or more years of transactional experience acquired in a top law firm and/or in-house environment advising medical device or life sciences clients on transactional issues.
Location: Fully remote
Responsibilities Include:

• Review, negotiate, and draft a broad array of commercial agreements, including supplier, distribution, employment, and non-disclosure agreements (NDAs).
• Prepare and file the following securities forms/ documentation: 10-Qs, 10-Ks, 8-Ks, S-1s and S-3s.
• Collaborate with and manage outside counsel on litigation issues associated with use of the client’s product.
• Assist with compliance questions and documentation posed by the client’s investors.

Qualifications Include:

• Excellent academic credentials including a law degree from a well-respected national law school.
• Five or more years providing transactional advice to medical device or life sciences clients acquired in a top law firm or in-house environment.
• Admission to at least one state active and in good standing. Proof of same will be requested.
• Comfort with and command of drafting a variety of commercial agreements.
• Command of issues associated with corporate governance and the following securities filings: 10-Qs, 10Ks, 8Ks, and registration statements (S-1s and S-3s)
