Job summary

Careers Inc. is seeking a skilled lawyer in Puerto Rico to serve as corporate and transactional counsel for our insurance industry client. The role demands handling corporate governance, regulatory matters, and complex financing transactions while supporting M&A activities and negotiations. Travel to client sites will be required.

The ideal candidate holds a J.D. and active U.S. bar license with 8–10 years of relevant experience, and is fluent in English and Spanish.

Qualifications

• J.D. from an accredited law school with active U.S. bar license.
• 8–10 years in corporate, regulatory, banking, securities, or transactional law.
• Experience advising investment advisors, private equity, financial institutions, or corporate clients.
• Strong knowledge of mergers and acquisitions, corporate governance, financing transactions, and contract negotiation.
• Bilingual in English and Spanish; excellent written and verbal communication.

Responsibilities

• Provide legal counsel on corporate, commercial, and regulatory matters affecting financial institutions and private equity transactions.

Our client, a leading insurance industry with an operation in Puerto Rico is hiring a Lawyer.

Requirements

• Provide legal counsel on corporate, commercial, and regulatory matters affecting financial institutions, investment advisors, and private equity transactions.
• Support mergers and acquisitions (M&A), including due diligence, transaction structuring, drafting, negotiation, and closing activities.
• Advise clients on corporate governance matters, including preparation and review of corporate resolutions, board materials, and organizational documents.
• Draft, review, negotiate, and interpret a wide variety of commercial agreements, financing documents, and business contracts.
• Assist in the structuring and execution of financing transactions, credit facilities, and capital markets activities.
• Provide legal guidance regarding securities, banking, insurance, and investment advisory regulations.
• Collaborate with senior attorneys, executives, and business stakeholders on complex corporate and transactional matters.
• Participate in board and committee meetings, prepare meeting minutes, and advise directors and officers on governance obligations.
• Conduct legal research and analysis on corporate, regulatory, and transactional issues.
• Ensure compliance with applicable federal, state, and industry-specific regulations.
• Support private equity investments, portfolio company transactions, and related corporate matters.
• Coordinate with external counsel, regulators, auditors, and internal business units as needed.
• Manage multiple projects simultaneously while maintaining strong attention to detail and meeting critical deadlines.
• Travel as required to support client meetings, transactions, regulatory matters, and business initiatives.

Qualifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• 8–10 years of experience in corporate, commercial, regulatory, banking, securities, insurance, or transactional law.
• Experience advising investment advisors, private equity firms, financial institutions, or corporate clients.
• Strong knowledge of mergers and acquisitions, corporate governance, financing transactions, and contract negotiation.
• Excellent analytical, organizational, and problem-solving skills.
• Ability to interact effectively with boards of directors, executive management, and external stakeholders.
• Strong written and verbal communication skills in both English and Spanish.
• Highly organized, detail-oriented, and capable of managing competing priorities in a fast-paced environment.
• Willingness and ability to travel as business needs require.
