Job summary

Pantheon Ventures seeks a qualified lawyer to join the Infrastructure Investment Team. You will close investments across primary fund investments, secondaries and co-investments, negotiating complex legal docs and structuring deals for multiple jurisdictions.

Work with legal, operations and finance teams to ensure timely execution and compliance. A discretionary bonus and strong benefits package accompany a competitive base salary in New York.

Qualifications

• Qualified lawyer with bar admission in a recognised jurisdiction.
• Experience negotiating transaction documents including SPAs, LPAs and side letters.
• Proven ability to structure, form and operate private markets investment vehicles.
• Experience in debt transactions such as fund financings or project finance is a plus.
• Ability to work across jurisdictions and time zones with different cultures.

Responsibilities

• Lead execution of infrastructure investments and related transactions, including primary fund investments, secondaries and co-investments.
• Negotiate and finalize all legal documents governing Pantheon transactions (term sheets, SPAs, LPAs, framework agreements, shareholder agreements, side letters).
• Coordinate debt facilities with treasury and lenders and oversee closing of credit facilities.
• Structure investments to optimise tax characteristics for Pantheon clients and form SPVs as needed.
• Manage fund sales, investor onboarding, and regulatory/compliance processes across the platform.
• Provide training and share knowledge on structuring, debt, tax and negotiation practices.
