Our client is a global asset manager with significant capabilities across infrastructure equity and debt, private equity, private credit, real estate and listed equities. The firm works with institutional investors globally and has a significant presence across North America, Europe, Asia and Australia.

The Opportunity

Our client is seeking a Legal Counsel, Debt (Infrastructure) to join its New York legal team.

This attorney will advise on infrastructure debt investments, including transaction structuring, legal and regulatory diligence, execution, portfolio management and new product development. The role works closely with investment, portfolio management, investor relations, compliance and fundraising teams across North America, Europe and APAC.

This is a highly commercial, investment-facing position requiring strong legal judgment and experience with sophisticated debt transactions.

Key Responsibilities

• Lead legal workstreams for debt transactions, debt investment management agreements and new debt products.
• Negotiate NDAs and transaction documents and oversee legal and regulatory diligence.
• Partner with investment teams and external advisors from diligence through execution.
• Advise on waivers, consents, amendments, restructurings and other portfolio matters.
• Identify and mitigate legal and regulatory risks associated with debt investments.
• Advise infrastructure and investment teams on debt-related matters.
• Support new debt product development and investment management agreements.
• Help improve legal processes and knowledge management across the organization.
