Qualifications

In-house Paralegal

About the Role

Dialight is seeking a Commercial Paralegal to join the Corporate HQ Legal team whilst based out of our Farmingdale, NJ office. You will support the Legal function in managing a wide variety of legal matters including commercial contract review, contract management & administration, compliance and onboarding of third parties, labor/HR, corporate and potentially ad hoc work on corporate, governance, litigation and property matters. This role requires strong organizational skills, attention to detail, and the ability to work independently on routine and moderately complex tasks albeit working closely with the Group Head of Legal to take instructions and elevate appropriately. You will serve as a liaison between internal teams, the Head of Legal and where instructed external counsel.

This role will report to the Group Head of Legal based at Dialight's Corporate HQ in London, England.

You will

Contract Management & Administration

  • Review, analyze, and administer commercial contracts including purchase orders, master service agreements, statements of work, amendment agreements, sales/rep agency agreements, customer terms and conditions and/or sales agreements.
  • Support the contract lifecycle from initial review and negotiation through execution, performance, amendments, renewals, and closeout.
  • Maintain accurate and organized contract records, including key dates, deliverables, pricing, payment terms, insurance requirements, warranties, obligations, and renewal/termination provisions.
  • Monitor contractual milestones, deadlines, notices, deliverables, and other obligations to help ensure timely compliance.
  • Coordinate contract approvals and execution in accordance with company policies and authorization requirements.
  • Assist with improving centralised record keeping and filing of contracts.
  • Review contractual terms and identify commercial, operational, financial, and compliance risks.
  • Analyze provisions related to pricing, payment, delivery, performance requirements, warranties, indemnification, limitation of liability, insurance, intellectual property, confidentiality, termination, and dispute resolution.
  • Escalate material risks and non-standard terms to the Head of Legal in the first instance.
  • Draft appropriate changes to contracts during the process of negotiation having first consulted with key stakeholders.
  • Manage the company’s suite of template agreements, including maintaining the agreements in accordance with updates to applicable law and company strategy.

Compliance and Onboarding

  • Manage and administer the Company automated due diligence and third party screening of supplier, customers, distributors and agents to screen for bribery, sanctions, slavery, corruption and other compliance risks.
  • Review screening results and advise on company risk, identifying any compliance related issues or critical risks to trading.
  • Liaise with internal teams cross functionally to provide feedback on process, stage gates and approvals/rejections of companies as it relates to the onboarding process.
  • General advice and troubleshooting on regulatory and/or compliance matters.

HR/Labor

  • Support with preparation and review of employment related agreements, handbooks, non-compete and agreements and severance agreements
  • Troubleshoot queries and provide advice on law, regulations and ad hoc queries as they relate to non-contentious and contentious labor matters.
  • Support any capability, disciplinary or performance management process, including workplace investigations.
  • Gathering evidence, organizing files, and managing discovery for workplace investigations or court claims.

Ad Hoc Legal Support

  • Support the Head of Legal with research, advice, due diligence and drafting as it relates to any legal workstream cross functionally including: Finance, Supply Chain, Operations, Warranty, Engineering, IT, Sales and Marketing.
  • Primary focus on US region but may be required to support with workstreams from other regions globally where required.
  • Maintain company suite of Policies, providing advice, input and drafting to process updates or changes required from a legal perspective.
  • Act as a 'point person' for initial US ad hoc legal queries but at all times in consultation with the Group Head of Legal prior to acting on instructions for a new matter.

Qualifications

Required

  • Bachelor's degree in Law and/or Business, or equivalent combination of education and experience.
  • 2-5 years of experience as an in-house Paralegal and/or Contract Manager.
  • Experience of drafting, reviewing and providing advice in relation to a wide range of commercial contracts and related business documents.
  • Generalist legal knowledge and experience across a wide range of workstreams (corporate, commercial, labor, compliance and governance etc).
  • Commercial acumen and understanding of cross-functional business processes.
  • Willingness to provide administrative legal support in line with company software, processes, filing and internal controls.
  • Strong analytical, organizational, and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and ability to manage multiple priorities and deadlines.
  • Proficiency with Microsoft Office, particularly Excel and Word.
  • Ability to work effectively across multiple departments and levels of an organization.

Preferred

  • Experience in industrial manufacturing, engineered products, construction, engineering, energy, infrastructure, or another project-based environment.
  • Experience with sales, agency, reseller, customer, supplier, subcontractor, or master service agreements.
  • Familiarity with terms and conditions of purchase/sale, change orders, purchase orders, statements of work, claims, and contract amendments.
  • Experience with ERP, procurement, or contract lifecycle management systems.
  • Familiarity with commercial and contractual risk concepts.
  • Experience working with Legal, Sales,Procurement, HR, Marketing, IT and Finance functions in a corporate environment.
  • Experience of working cross-jurisdictionally to support legal workstreams in different regions globally.
  • Professional certification in contract management, procurement, or supply chain is a plus.
