Mindspring Ventures is hiring its first in-house attorney to build the legal function for the portfolio, ensuring compliance across multiple entities and jurisdictions. You will own securities offerings, investor documentation, cap tables, and contractor agreements, reporting directly to the Founder and CEO.

The role requires hands-on leadership, excellent drafting skills, and the ability to coordinate with outside counsel for large transactions and regulatory matters.

Qualifikationen

• JD with active bar license and ability to register as in-house counsel in Kansas.
• 6–10 years corporate/securities experience, including 3+ years at a law firm on venture work.
• Hands-on experience running Regulation D offerings end to end (structuring, documents, closing, Form D, blue sky).

Aufgaben

• Lead private securities offerings and Reg D compliance.
• Draft and negotiate term sheets, PPMs, purchase agreements and side letters.
• Run accredited investor verification for 506(c) and manage blue sky filings.
• Maintain cap tables and equity records across portfolio.
• Review and renegotiate commercial contracts and build templates.
• Oversee corporate governance, filings, and compliance calendars.
