GrabAGun Digital Holdings Inc. in Dallas/Farmers Branch, Texas, seeks a Corporate Counsel to join its Legal Department as the second in-house attorney. Reports to the General Counsel and supports securities, governance, contracts, and M&A for a growing public company.

The role is 100% in-office in the Dallas area. Ideal candidate is autonomous, proactive, and capable of building a public-company legal function with cross‑functional collaboration across Accounting, Finance, Marketing, and

Qualifications

• J.D. from ABA-accredited school.
• Licensed to practice in Texas or eligible for Texas licensure.

Responsibilities

• Prepare, review, and file SEC disclosures and reports (10-K/10-Q/8-K; Form 3/4/5) and advise on related rules.
• Advise on corporate governance, board structure, insider trading policy administration, related-party transactions, and stockholder engagement.
• Draft, review, and negotiate a wide range of commercial agreements supporting e-commerce and logistics operations.
• Support due diligence, drafting, and integration on mergers, acquisitions, and other strategic transactions.
• Maintain compliance with NYSE/Nasdaq listing standards and exchange requirements.
• Support equity/stock plan administration and executive compensation matters.
• Coordinate outside counsel engagements, budgets, and monitoring of work product.
• Develop, implement, and train on corporate policies (Code of Conduct, insider trading policy, etc.).
• Monitor regulatory developments and advise senior leadership accordingly.
• Provide general corporate legal support on cross-functional initiatives.
