Job summary

The candidate will handle annual shareholder processes, Section 16 filings, and cross-border subsidiary documentation while training internal clients and supporting corporate initiatives.

Qualifications

• Five+ years of corporate paralegal experience in-house or in law firm.
• Paralegal certification or equivalent credential.
• Strong organizational and time-management skills.
• Ability to work independently in a fast-paced environment with multiple projects.
• Excellent interpersonal and teamwork with internal clients and external providers.
• Judgment and professional customer service in business partnering.
• Experience with electronic legal management systems and MS Office.

Responsibilities

• Support Board of Directors by preparing agendas, minutes, and resolutions.
• Organize Masco’s annual shareholders meeting with docs and third-party providers.
• Prepare and file Section 16 reports for directors and exec officers.
• Manage domestic and foreign subsidiaries; prepare formation docs and resolutions.
• Assist with corporate acquisitions, restructurings, dissolutions, and subsidiary database maintenance.
• Provide guidance and training to internal clients on legal matters.
