Job summary

MG+M The Law Firm in Boston, MA is seeking an experienced Paralegal to support our Transactional Practice Group. The role focuses on mergers and acquisitions, corporate filings, and governance work, with close collaboration with attorneys to ensure timely closing of transactions.

The ideal candidate brings at least five years of paralegal experience in corporate or transactional matters, a Bachelor's degree or Paralegal Certificate, and strong organizational and communication skills.

Qualifications

• Minimum five years of paralegal experience with a focus on corporate or transactional work.
• Bachelor’s degree and/or Paralegal Certificate required.
• Experience supporting M&A transactions and corporate governance activities strongly preferred.

Responsibilities

• Assist attorneys with mergers and acquisitions, including due diligence, document organization, and closing preparation.
• Conduct and manage due diligence reviews, including tracking and summarizing key findings.
• Prepare and organize closing checklists, signature pages, and transaction binders.
• Draft and revise corporate documents, including resolutions, formation documents, and governance materials.
• Maintain and update corporate records, minute books, and entity management databases.
• Coordinate filings with state agencies related to formation, registration, and compliance.
• Manage large volumes of transactional documents and organize deal files.
• Communicate with clients, attorneys, and third parties to facilitate transaction execution.
• Support attorneys with legal research and other transactional matters as needed.
• Track timelines and key deliverables to ensure timely completion of transactions.
