Job summary

Pye Legal Group in Houston, TX is seeking a senior in-house counsel to lead M&A and strategic transactions for a large energy company. You will manage deal structuring, due diligence, and post-closing integration while balancing governance and day-to-day corporate matters.

You will collaborate with corporate development, finance, tax, and operations teams, oversee outside counsel, and help shape transaction strategy in a dynamic energy landscape. Hybrid work arrangement offered.

Qualifications

• J.D. from an accredited law school and licensed to practice in at least one U.S. state.
• 5–9 years of legal experience in M&A or corporate practice, preferably in energy.
• Strong knowledge of corporate law and governance, including fiduciary duties.
• Experience coordinating with internal teams and outside counsel on complex transactions.

Responsibilities

• Lead the legal aspects of acquisitions, divestitures, mergers and strategic transactions.
• Draft and negotiate LOIs, purchase agreements, merger agreements, and closing documents.
• Coordinate due diligence including regulatory, environmental and litigation review.
• Manage outside counsel and legal spend while advising on risk and structure.
