Job summary

Frankfurt Kurnit Klein & Selz in New York seeks a junior corporate associate for its Corporate Group, focusing on mergers and acquisitions, venture financings, and strategic transactions with a preference for entertainment, media, and advertising ventures.

You will manage diligence, drafting, governance matters, and closing deliverables, while developing client relations and independent work habits in a hybrid environment.

Qualifications

• Experience conducting and organizing due diligence reviews and coordinating requests among clients, counterparties and deal teams.
• Experience preparing, reviewing and maintaining disclosure schedules, transaction checklists and closing documentation.
• Strong project management and organizational skills to manage multiple matters and deadlines.
• Strong drafting, analytical, legal research, writing, and communication skills.
• Attention to detail, sound judgment and client-service orientation.
• Ability to work independently and with partners and deal teams.

Responsibilities

• Support all phases of mergers and acquisitions transactions, including diligence, drafting, negotiation, signing and closing activities.
• Perform complex legal research, manage due diligence requests and review diligence materials in connection with M&A, financings and other corporate transactions.
• Evaluate current and new projects and partnerships for potential legal issues.
• Advise clients on corporate governance, policies, finances, IP, employment and regulatory issues, guiding best practices.
• Collaborate with partners and clients on matters to gain hands-on experience.
• Additional responsibilities as assigned.
