Job summary

Beacon Hill, a sophisticated mid-sized law firm in Chicago, seeks a Corporate Transactional Paralegal to join its Corporate Group. This full-time, hybrid role supports attorneys handling entrepreneurial to global clients on business, finance, and real estate transactions in a collaborative, fast-paced environment.

The ideal candidate has 5–7 years of corporate transactional and finance experience, including mergers and acquisitions exposure.

Qualifications

• Bachelor's Degree or Paralegal Certificate is required.
• 5-7 years of corporate transactional and finance experience.
• Experience supporting mergers, acquisitions, and corporate governance.
• Experience preparing and organizing closing documents and binders.
• Strong attention to detail and client service mindset.

Responsibilities

• Support business, finance, and real estate transactions of all types.
• Prepare and manage transaction checklists.
• Prepare and file UCC Financing Statements.
• Draft and file entity formation and corporate governance documents.
• Prepare and file IRS documents.
• Organize corporate records and minute books.
• Oversee electronic closing binders and transaction documentation.
• Use docketing system to track matters and deadlines.
• Prepare Form D and Blue Sky filings.
• Communicate with clients, opposing counsel, lenders, and title companies throughout transactions.
