ExcelliSearch, Inc. is seeking a Banking & Finance Associate Attorney to join a prestigious AmLaw 50 firm, handling complex domestic and cross-border financing matters.

The role involves representing lenders and borrowers in structured finance, syndicated lending, and distressed financings, with a focus on private credit and liquidity solutions. The ideal candidate will have a JD from a top-tier school, 4–6 years of relevant experience, and active bar admission.

Formación

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in applicable jurisdiction, in good standing.
• 4-6 years of substantive experience in structured finance and secured lending at a major law firm.
• Experience representing credit funds and lenders, and/or borrowers and sponsors in a broad range of financings.
• Familiarity with structured credit, receivables financings, distressed financings, and growth capital transactions.
• Experience collaborating with clients in the private credit and special situations space, focusing on liability management through receivables financing and other structures designed to provide liquidity to financially distressed companies.
• Strong client service orientation with the ability to manage multiple matters efficiently.
• Demonstrated initiative, sound judgment, and attention to detail.

Responsabilidades

• Represent credit funds and other lenders and/or borrowers and sponsors in domestic and international financing transactions.
• Draft and negotiate credit agreements, security documents, intercreditor agreements, and related transaction documentation.
• Support transactions involving receivables financings and other structured credit deals, private credit, syndicated credit facilities, structured finance, and distressed situations.
• Collaborate with colleagues across offices and practice groups to deliver seamless client service.
• Manage deal execution from initial diligence through closing.
