Job summary

Corporation Service Company seeks an Independent Director team member with strong organization and communication skills to manage client relationships and serve in the capacity of Independent Director. Responsibilities include reviewing organizational documents and contracts, conducting risk assessments under state laws, and coordinating with leaders and attorneys to approve transactions.

Qualified attorneys licensed in Delaware with 1–2 years of private practice or equivalent are encouraged to

Qualifications

• JD earned from an accredited law school.
• Licensed to practice law in Delaware; admission in other states considered.
• Experience drafting and negotiating complex contracts and corporate documents.

Responsibilities

• Review and negotiate entity organizational documents and contracts for independent directors and managers.
• Perform risk assessments under applicable state and international laws.
• Consult with corporate leaders and attorneys; review docs for transaction approvals.
• Draft language in line with corporate statutes to meet risk requirements.
• Use CSC’s database to manage workload and ensure deadlines.
