Job summary

Marsh is seeking an Assistant General Counsel for Alternative Investments in Boston. You will provide strategic and practical legal advice across private funds and SMA products, coordinating with Investments, Operations and Compliance teams, and overseeing external counsel across jurisdictions.

Qualifications

• JD from a US accredited law school and active license to practice in at least one state.
• Minimum of 7 years advising on private funds (closed-end and open-end).
• Strong knowledge of the Investment Advisers Act and its application to private funds.
• Familiarity with EU/UK/Canada private fund structures and regulatory requirements.
• Proven experience drafting and negotiating private fund transactional documents.
• Excellent analytical, drafting and negotiation skills.
• Ability to lead a team and manage multiple priorities.

Responsibilities

• Provide expert counsel to Investments and Operations regarding terms governing fund investments across assets and investment types.
• Manage external counsel in due diligence and negotiation of documents across global funds and SMAs.
• Lead negotiations on complex private markets deals involving Mercer’s funds and SMAs.
• Ensure timely delivery of projects and advice, including external counsel oversight within scope and budget.
• Advise on corporate actions issued by underlying investments (fund amendments/consents).
• Oversee development and operation of Mercer investment funds and SMAs, including structuring and documentation.
• Advise on Investment Advisers Act and other securities laws relevant to private funds; Cayman Islands laws as applicable.
• Oversee a team of paralegals/junior lawyers supporting private funds transactions.
