D3 Search is actively seeking a Healthcare Transactions Associate Attorney on behalf of a prominent, full-service law practice located in Sacramento, CA. The role requires 1–4 years of healthcare regulatory or corporate transactional experience and membership in good standing with the California State Bar.

The successful candidate will advise healthcare providers and businesses on federal and California healthcare laws, support mergers and due diligence, and draft key services agreements.

Qualifications

• J.D. from an accredited law school.
• Active California State Bar in good standing.
• 1–4 years of experience in healthcare regulatory or corporate transactional practice.
• Knowledge of healthcare regulatory matters (provider licensing, enrollment, reimbursement, fraud and abuse, Stark Law, Anti-Kickback Statute, HIPAA) preferred.

Responsibilities

• Advise healthcare providers and businesses on federal and California healthcare laws and regulations.
• Conduct legal research, draft memoranda, and prepare analyses on healthcare regulatory issues.
• Assist with healthcare mergers, acquisitions, affiliations, restructurings, and due diligence.
• Draft, review, and negotiate healthcare and corporate agreements, including management services and professional services agreements.
• Advise clients on corporate governance, entity formation, and operational matters.

Annual Salary: $160,000 to $190,000 (Dependent on Qualifications) plus competitive bonuses, robust benefits, and onsite paid parking.

Work Model: Flex hybrid 3/2 work model (Full-time / Direct-hire).
