Job summary

McDowell Mountain Law is seeking a skilled health care transactional attorney to join its national practice in a 100% remote role. Candidates should have a minimum of 3 years of health law experience with a focus on transactional work, regulatory due diligence, and contracting.

You will advise clients on healthcare regulatory compliance, draft and negotiate joint venture, vendor and service agreements, and apply Stark Law, AKS, Medicare/Medicaid, HIPAA and privacy requirements across matters.

Qualifications

• Juris Doctorate from an accredited law school and bar admission.
• 3+ years of healthcare law and transactional experience.
• Sophisticated contract drafting and negotiation skills.
• Ability to manage complex workflows and overlapping deadlines.
• Preferred licensure in AZ, CA, CO, FL, IL, MA, MI, NC, NV, NY, OR, RI, TX, VA or WA.

Responsibilities

McDowell Mountain Law, a boutique healthcare transactional firm with a national practice, is seeking a skilled health care transactional attorney to join its practice. We seek candidates with a minimum of 3 years of health law experience with a particular strength in transactional work, regulatory due diligence, and contracting, and will consider associates, counsel, or junior partners.

Candidates should be able to advise clients on a variety of legal issues including:

Transactional Support:

Support deal flow and transactional matters, including due diligence efforts, purchase and sale agreements as well as ancillary documents, and regulatory notices and filings for healthcare transactions.

Corporate Governance:

Formulate essential organizational documents, including Operating Agreements, Bylaws, Shareholder Agreements, and Voting Agreements.

Advisory & Compliance:

Counsel clients on healthcare-specific legal challenges, including fraud, waste, and abuse as well as general regulatory compliance matters.

Contract Management:

Draft, evaluate, and negotiate various healthcare legal agreements, including joint venture, professional services contracts, vendor, and business associate agreements.

Regulatory Analysis:

Apply expertise in Stark Law, Anti-Kickback Statute, Medicare/Medicaid billing and reimbursement, HIPAA, and federal/state privacy regulations to client operations.

Job Requirements:

Juris Doctorate from accredited law school and state admission to practice law. Possess robust background in healthcare law and corporate practice, sophisticated contract drafting, and negotiation expertise. Ability to thrive in a fast-paced environment by managing complex workflows and overlapping deadlines. Strong interpersonal skills, including emotional intelligence and self-awareness. It is preferred, but not required, for candidates to be licensed in: AZ, CA, CO, FL, IL, MA, MI, NC, NV, NY, OR, RI, TX, VA, or WA.
