Job summary

McDowell Mountain Law is seeking a health care transactional attorney with at least 3 years of health law experience to join its national practice. The role emphasizes transactional work, regulatory due diligence and contracting, with flexibility for associates, counsel, or junior partners.

The candidate will advise on a variety of issues including deal flow, due diligence, corporate governance, and regulatory compliance in a fast-paced environment.

Qualifications

• Juris Doctorate from an accredited law school and state admission to practice law.
• Strong background in healthcare law and corporate practice.
• Sophisticated contract drafting and negotiation expertise.

Responsibilities

• Provide transactional support for healthcare deals, including due diligence and drafting.
• Develop and maintain corporate governance documents (Operating Agreements, Bylaws, Shareholder and Voting Agreements).
• Advise on healthcare-specific regulatory compliance challenges.
• Draft, evaluate, and negotiate healthcare contracts (joint ventures, professional services, vendor and BAAs).
• Apply expertise in Stark Law, Anti-Kickback Statute, Medicare/Medicaid billing and privacy regulations.

Job description

McDowell Mountain Law, a boutique healthcare transactional firm with a national practice, is seeking a skilled health care transactional attorney to join its practice. We seek candidates with a minimum of 3 years of health law experience with a particular strength in transactional work, regulatory due diligence, and contracting, and will consider associates, counsel, or junior partners.

Candidates should be able to advise clients on a variety of legal issues including:

Transactional Support:

Support deal flow and transactional matters, including due diligence efforts, purchase and sale agreements as well as ancillary documents, and regulatory notices and filings for healthcare transactions.

Corporate Governance:

Formulate essential organizational documents, including Operating Agreements, Bylaws, Shareholder Agreements, and Voting Agreements.

Advisory & Compliance:

Counsel clients on healthcare-specific legal challenges, including fraud, waste, and abuse as well as general regulatory compliance matters.

Contract Management:

Draft, evaluate, and negotiate various healthcare legal agreements, including joint venture, professional services contracts, vendor, and business associate agreements.

Regulatory Analysis:

Apply expertise in Stark Law, Anti-Kickback Statute, Medicare/Medicaid billing and reimbursement, HIPAA, and federal/state privacy regulations to client operations.

Job Requirements:

Juris Doctorate from accredited law school and state admission to practice law. Possess robust background in healthcare law and corporate practice, sophisticated contract drafting, and negotiation expertise. Ability to thrive in a fast-paced environment by managing complex workflows and overlapping deadlines. Strong interpersonal skills, including emotional intelligence and self-awareness. It is preferred, but not required, for candidates to be licensed in: AZ, CA, CO, FL, IL, MA, MI, NC, NV, NY, OR, RI, TX, VA, or WA.
