Job summary

AmLaw 200 Opportunity in Dallas seeks a Corporate Transactions Associate Attorney to handle M&A transactions and healthcare-related matters within a sophisticated national corporate practice. You will draft and negotiate acquisition agreements and ancillary documents while advising on governance and general corporate matters.

The ideal candidate has 4–6 years of corporate transactional experience, with strong drafting and communication skills, and Texas bar admission or eligibility.

Qualifications

• Approximately 4–6 years of corporate transactional experience.
• Experience with M&A transactions and acquisition agreements strongly preferred.
• Experience with healthcare transactions, financing matters, corporate governance, or commercial contracts is a plus.
• Familiarity with technology agreements, SaaS agreements, master services agreements, or vendor contracts preferred.
• Strong drafting, analytical, and communication skills.

Responsibilities

• Handle mergers & acquisitions transactions.
• Work on healthcare industry transactions and strategic acquisitions.
• Draft and negotiate acquisition agreements and ancillary documents.
• Provide general corporate representation and governance support.
• Assist with entity formation, capitalization, and operating agreements.
