You will prepare board materials, manage board portals, assist with SEC disclosures, support Section 16 filings, and help maintain governance records and calendars. Qualifications

• Bachelor’s degree or equivalent required.
• Paralegal certification preferred.
• 3–6+ years paralegal or governance support experience.
• Experience supporting Board processes preferred.
• Strong administrative and organizational skills.

Responsibilities

• Board & Committee Administration: Prepare and distribute materials; manage board portal systems; coordinate meeting logistics.
• SEC & Governance Support: Assist with proxy materials and disclosures; support Section 16 filings.
• Maintain governance records: Shareholder & Annual Meeting support; coordinate logistics; track proposals.
• Governance Systems & Vendors: Coordinate with portal and proxy vendors; maintain data accuracy.
• Tracking & Documentation: Maintain governance calendars and trackers; support audits and document management.
