Job summary

Ropes & Gray LLP seeks a transactional or funds attorney to join the Alternative Asset Opportunities practice group in Chicago. You will advise sovereign wealth funds and mega-investors on complex multi-asset transactions, including secondaries, co-investments, and fund investments, with cross-border considerations.

Qualifications

• J.D. from an accredited law school.
• Three to seven years of transactional or fund experience at a major law firm, with exposure to private equity or fund formation transactions.
• Demonstrated experience drafting and negotiating complex investment and/or fund-related agreements.
• Strong written and verbal communication skills with keen attention to detail.
• Ability to work both independently and collaboratively in a team environment.
• Interest in leveraging AI technology and other emerging legal tools to improve the quality and efficiency of proficient legal work.

Responsibilities

• Draft, review, and negotiate transaction documents related to complex transactions across asset classes.
• Advise on deal structuring, governance arrangements, and regulatory considerations across global transactions.
• Prepare and review transaction agreements, limited partnership agreements, subscription documents, side letters, and related documentation.
• Collaborate with colleagues across cross-disciplinary transactional, tax, finance and regulatory teams to deliver integrated client solutions.
• Manage multiple concurrent transactions from term sheet through closing.
