Job summary

Asana, Inc. is seeking a Commercial Counsel to join our Commercial Legal team in San Francisco.

You will partner with sales and cross-functional stakeholders to negotiate and close high-velocity enterprise deals, including SaaS, DPAs, BAAs, and AI terms. You will provide practical legal guidance, draft important agreements, and help scale the team’s playbooks and knowledge resources while staying current on evolving global laws.

Qualifications

• JD degree and active U.S. state bar membership.
• 4+ years practicing law, including in-house experience at a technology company supporting a sales organization with outbound enterprise deals.
• Experience negotiating outbound commercial agreements, including SaaS, DPAs, BAAs, product terms, and AI terms.
• Proven cross-functional collaboration with Sales, Finance, Revenue Accounting, Deal Desk, Privacy, Security, and Legal Operations.
• Strong legal/business judgment, integrity and ability to translate complex legal nuances to non-legal stakeholders.
• Proactive, independent, and able to drive deals while protecting company interests.

Responsibilities

• Partner with sales and cross-functional stakeholders to support high-velocity deal cycles across regions.
• Draft, negotiate, and advise on outbound commercial agreements and strategic partnerships with enterprise customers.
• Advise sales teams with practical guidance and structure transactions aligned with policy and business goals.
• Train sales teams on common commercial issues and best practices to accelerate closings.
• Develop scalable playbooks, knowledge resources, and processes to improve deal velocity and quality.
• Stay current on global laws affecting the business, including competition and data protection, and update internal guidelines.
• Support and manage high-impact ad hoc legal projects as they arise.
