Dexis seeks a Project Attorney to advise the U.S. International Development Finance Corporation's Office of the General Counsel on legal and policy aspects of DFC's equity investment program.

The role involves structuring, negotiating, and documenting complex international debt and equity transactions across energy, infrastructure, and other sectors. The successful candidate will serve as first chair in negotiations, analyze cross-border regulatory issues, and manage disbursements, capital

Formación

• Graduation from an accredited law school with a J.D. or LL.B.
• Bar license to practice in a US state, DC, or Puerto Rico.
• At least five years of full-time professional legal experience after admission to the bar.
• Minimum five years of specialized experience, including four years at GS-14 level or equivalent.

Responsabilidades

• Structure, diligence, negotiate and document complex multi-million-dollar international debt and/or equity transactions.
• Advise on transaction structures including equity, debt, and convertible instruments.
• Handle debt transactions: project financings, guarantees, security arrangements, and E&P agreements.
• Advise on equity and investment funds: direct equity, fund formation, joint ventures, and co-investment structures.
• Serve as first chair in negotiations with borrowers, sponsors, investees and lenders.
• Manage disbursements, subscriptions, capital calls, and restructures across transactions globally.
• Analyze foreign and international law issues affecting collateral, intercreditor arrangements, and shareholder rights.
• Perform related duties as assigned.

Educación

Juris Doctor or LL.B.

Bar admission in US/DC/PR

5+ years of professional legal experience

4+ years of specialized experience at or above GS-14 level
