Key Responsibilities:
- Manage global equity compensation programs, including stock options, restricted stock, and employee stock purchase plans.
- Oversee equity administration processes, ensuring accurate and timely grant, vesting, and participant data management.
- Lead compliance with global equity regulations, including SEC reporting, IRC 409A, IRC Section 423, and applicable EMEA and APAC requirements.
- Manage China SAFE compliance and other country-specific equity requirements.
- Oversee SOX controls related to equity grant authorization and HR-side audit responsibilities.
- Partner with Finance on equity accounting, financial reporting, and equity footnote disclosures.
- Prepare and coordinate proxy statement inputs and executive compensation disclosures.
- Model equity pool budgets, burn rates, dilution forecasts, and other compensation metrics.
- Analyze compensation and financial data and translate findings into actionable recommendations for leadership.
- Manage relationships with equity administration platforms and HRIS systems.
- Support system configuration, testing, UAT, enhancements, and process improvements.
- Maintain appropriate data privacy practices for global equity participant information.
- Develop and maintain effective equity compensation processes, controls, and documentation.
- Communicate complex equity concepts clearly to employees, executives, and Board-level stakeholders.
- Lead, mentor, and support team members involved in equity compensation and administration.
Requirements include:
Education:
- Bachelor’s degree in Business, Finance, Human Resources, or a related field.
- Advanced degree preferred.
Experience:
- 7+ years of progressive experience in Total Rewards, Compensation, or Equity Administration.
- 2-3+ years of management or team leadership experience.
- Hands-on experience with executive compensation and proxy disclosure required.
- Experience managing global equity programs across multiple regions preferred.
Skills:
- Advanced equity compensation and administration expertise.
- Strong quantitative, analytical, and financial modeling skills.
- Excellent written and verbal communication skills.
- Strong leadership, project management, and organizational abilities.
- Ability to explain complex equity concepts to employees, executives, and Board members.
- Experience with equity administration platforms such as Fidelity, Shareworks, E*TRADE, or Charles Schwab.
- Experience with HRIS platforms such as Workday.
- Strong systems aptitude, including platform configuration, UAT, and system enhancements.
Certifications:
- Certified Equity Professional (CEP) designation highly preferred.
- Certified Compensation Professional (CCP) or other relevant industry certification is a plus.
Knowledge:
- Global equity compensation regulations and compliance requirements.
- SEC reporting and executive compensation disclosure requirements.
- IRC 409A and IRC Section 423/ESPP requirements.
- EMEA and APAC equity regulations, including China SAFE compliance.
