Job summary

Natixis seeks an experienced attorney to join the CIB Americas Legal Department to provide legal and regulatory advice on debt and equity capital markets, securitization and related broker-dealer matters. The role involves coordinating across New York and international offices, drafting and reviewing capital markets documentation, and supporting product development.

The candidate should have a JD/LLM, 5–7 years in a large financial institution or law firm, and a New York Bar license.

Qualifications

• JD or LLM degree.
• New York Bar admission in good standing.
• 5–7 years of experience at a large financial institution and/or at a law firm.
• Strong written and verbal communication; ability to convey complex information clearly.
• Experience with US securities laws and capital markets transactions preferred.

Responsibilities

• Drafting, reviewing and advising on debt and equity capital markets documentation across SEC registered, 144A, Regulation S, 3a2/3a3 and private placements; support securitization, structured notes, equity derivatives as needed.
• Structuring transactions with business teams and support functions; develop new product and transaction structures.
• Coordinate with Legal and Compliance teams in New York and Paris/London to navigate US broker-dealer and securities law issues for international offices.
• Collaborate with Front Office, Compliance, Risk Management and other stakeholders on capital markets and securitization transactions across multiple jurisdictions.
• Monitor and analyze legal risks; propose solutions to reduce risk and promote transparency.
