Job summary

Dematic seeks a Corporate Counsel to join its in-house legal team as a trusted advisor to the Sales organization and other business functions. You will help the company achieve its commercial goals while effectively managing legal and regulatory risks.

You will draft and negotiate a broad range of commercial agreements, develop templates and playbooks, and collaborate with Finance, IT, Compliance, and other partners to drive successful outcomes in a fast-paced, global environment.

Qualifications

• J.D. or equivalent law degree from an accredited institution.
• Licensed to practice law and in good standing in at least one jurisdiction.
• 3 to 6 years of experience supporting commercial transactions, preferably in-house or in a law firm.
• Demonstrated experience drafting and negotiating sophisticated commercial agreements.
• Strong understanding of contract law and commercial risk allocation.
• Ability to balance legal risk with business objectives and deliver practical, business-oriented advice.
• Excellent communication, negotiation, analytical, and problem-solving skills.

Responsibilities

• Serve as trusted advisor to Sales and business teams throughout the contracting process.
• Draft, review, negotiate, and manage a variety of commercial agreements (MSAs, T&Cs, SOWs, software/service agreements, NDAs, DPA, partner agreements).
• Identify risks and propose practical solutions aligned with business objectives.
• Collaborate with Sales, Finance, Project Execution, Procurement, Compliance, IT and others to support negotiations and project delivery.
• Advise on key provisions: liability, indemnification, warranties, IP, payment terms, compliance, dispute resolution.
• Develop and maintain contract templates, playbooks, and negotiation strategies.
• Support contract lifecycle management, policy development, and training programs.
• Monitor legal/regulatory developments and advise on impacts and risk mitigation.
