Job summary

Vistex in Illinois seeks a Senior Corporate Counsel and Assistant Secretary to advise on commercial contracts, employment matters, data privacy, and regulatory compliance across global operations. The role focuses on guiding risk mitigation and scalable, compliant growth.

You will own contract lifecycle management, partner with Finance, HR, IT Security, Sales and Marketing, and manage outside counsel to support compliant expansion and business objectives.

Qualifications

• 10–12 years of legal experience in-house or at a law firm.
• Licensed to practice law in Illinois.
• Experience advising on employment, data privacy, and regulatory compliance.
• Familiarity with CLM tools and contract operations optimization.

Responsibilities

• Review, draft, and negotiate a wide range of commercial agreements, including professional services agreements, software licensing agreements, non-disclosure agreements, vendor agreements, and other strategic contracts.
• Identify contractual, legal, and business risks and provide practical, solution-oriented guidance to internal stakeholders.
• Lead negotiation calls alongside the commercial team, balancing legal risk with business objectives.
• Collaborate with Finance, HR, IT Security, Sales, and Marketing to ensure contracts align with policies and regulatory requirements.
