Job description

Overview

The General Counsel is responsible for providing and overseeing legal strategy and support for the Company’s business activities. This includes a focus on contracts, corporate governance, human resources, litigation management, regulatory law (MSHA, OSHA, EPA, etc.), and managing external counsel. The position also supports environmental permitting, communications, and government relations.

Responsibilities

Essential duties and responsibilities include, but are not limited to:

  • Managing all legal matters of the Company.
  • Serving as legal representative for the Board of Directors.
  • Coordinating legal activities with Owner’s attorneys.
  • Guiding the Policy Committee to ensure policies and procedures are legally compliant and support the company’s goal of providing low-cost energy.
  • Managing the Ethics program, including the anonymous complaint hotline.
  • Handling liability issues, human resource management, and contract management.
  • Establishing goals and objectives aligned with organizational goals.
  • Overseeing the Information Governance program to ensure compliance with regulatory retention requirements and best practices.
  • Participating as a member of the Senior Leadership team.
  • Maintaining regular and reliable attendance.
Supervisory Responsibilities

Directly supervises all activities of the Legal Department, executing supervisory responsibilities for direct reports in accordance with company policies and applicable laws.

Qualifications

To perform this job successfully, an individual must meet the following requirements:

Education/Experience
  • A Juris Doctorate degree from an ABA-accredited university.
  • Minimum of five years of related experience, preferably in Illinois.
Certification/Licensure
  • Licensed to practice law in Illinois or able to obtain in-house counsel authorization within six months.
Knowledge
  • Extensive knowledge of employment law, including ADA and FMLA, contracts, ethics, and compliance.
Skills and Abilities
  • Effective communication skills.
  • High standards for safety and ethics.
  • Proven leadership with ability to attract, develop, and lead diverse teams.
  • Ability to promote teamwork and represent the company effectively.
Work Environment

The work environment includes office settings, occasional power plant or coal mine environments, exposure to noise and industrial hazards, and overnight travel as required. Reasonable accommodations will be provided for individuals with disabilities.

Compensation and Benefits

The salary range for this role is between $212,000 and $250,000 annually, with eligibility for a monthly incentive program. Benefits include medical, dental, vision, retirement plan with company match, life and disability insurance, tuition reimbursement, paid time off, paid holidays, and parental leave.
