Director, Associate General Counsel, Corporate and Securities

Join to apply for the Director, Associate General Counsel, Corporate and Securities role at Unity.

Unity is seeking a Director, Corporate and Securities to join its Legal team. This role involves providing legal support for corporate functions across our global organization. You will collaborate with Unity’s legal, accounting, tax, treasury, investor relations, marketing, and human resources teams, interacting with all levels of the business. The position can be remote or based in one of our corporate offices.

Responsibilities
  • Lead Unity’s compliance with public company obligations, including preparing disclosure documents such as periodic reports, current reports, and proxy statements. Improve processes to ensure compliance as a public company.
  • Manage affiliate trading matters, including Section 16 reporting and 10b5-1 plans.
  • Advise on corporate governance, including developing board materials and updating policies.
  • Support Unity’s global equity program by managing securities law compliance, drafting equity plan documents, and advising on structuring elements.
  • Provide legal guidance on securities offerings, treasury activities, and intercompany agreements.
  • Oversee compliance for 70 subsidiaries across over 20 countries.
  • Manage securities litigation.
  • Assist with structuring and documenting M&A or investment transactions.
  • Manage a team of two direct reports.
  • Coordinate effectively with outside counsel globally.
Qualifications
  • JD from an accredited law school.
  • 8-10 years of experience at a top law firm or corporate legal department, particularly in corporate, securities, or capital markets law.
  • Knowledge of public company financial reporting and securities law regulations.
  • Ability to work directly with internal clients at all organizational levels.
  • Excellent judgment, communication, organizational, and interpersonal skills, with a collaborative approach.
  • Creative and strategic problem-solving skills.
  • Independent work ethic and initiative.
  • Practical, business-oriented mindset and problem-solving attitude.
  • Curiosity and a good sense of humor.
Preferred Qualifications
  • In-house experience with advertising, enterprise software, internet, or high-tech companies.
