General Counsel & Chief Compliance Officer

The Opportunity

Our client is a growing, globally focused investment firm with $2bn AUM operating across public and private markets, seeking an experienced General Counsel & Chief Compliance Officer to lead its legal, regulatory, compliance and governance functions.

Reporting directly to the CEO, the role will combine strategic legal advice with hands-on oversight of investment transactions, fund structuring, regulatory compliance and institutional governance. This is an opportunity for a senior legal professional to shape and scale the legal and compliance infrastructure of a sophisticated investment platform.

Key Responsibilities

• Lead legal support for private and public market investments, including venture capital, private equity, structured investments and cross-border transactions.
• Oversee fund formation, structuring and documentation, including investment vehicles, partnership agreements, side letters and investor arrangements.
• Lead the firm's regulatory compliance framework, including relevant securities regulations, filings, audits and examinations.
• Advise on corporate governance, fiduciary duties, investor relations, employment matters and commercial contracts.
• Develop and enhance legal, compliance, risk management, cybersecurity and data governance frameworks.
• Act as a trusted strategic adviser to the CEO and senior leadership team on legal, regulatory and business risks.
• Manage external legal advisers and ensure effective, commercially focused legal support across jurisdictions.
• Build and develop a scalable legal and compliance function to support the firm's continued growth and institutional development.

Candidate Profile

• Qualified US lawyer with approximately 15–20+ years of relevant legal experience.
• Significant experience in investment management, private funds, securities regulation, private equity or venture capital.
• Previous experience as General Counsel, Deputy General Counsel, Chief Compliance Officer or senior in-house counsel within an investment firm, asset manager or family office.
• Strong expertise in fund formation, complex investment transactions, corporate governance and investor rights.
• In-depth knowledge of relevant US regulatory frameworks, including SEC requirements, with experience overseeing compliance programmes and regulatory filings.
• Experience supporting cross-border investments and working with external counsel across multiple jurisdictions.
• Strong commercial judgement, executive presence and the ability to balance risk management with business objectives.
• Proven ability to advise senior leadership, anticipate emerging risks and build scalable legal and compliance infrastructure.
