Pacific Staffing seeks an experienced General Counsel to serve as a senior legal advisor to the CEO and executive leadership. The role includes governance, corporate secretary duties, and leading regional legal operations in a hybrid Davis, CA setting.

Ideal candidates have 15+ years of progressive legal experience, a JD, and are licensed in California or eligible for in-house counsel status, with bilingual Spanish required to navigate regional needs.

Responsabilidades

• Serve as primary legal advisor to the CEO and executive team; act as Corporate Secretary to maintain corporate records, support board functions, and manage governance policies.
• Lead corporate legal strategy, budget management, policy creation, litigation oversight, and dispute resolution across the region.
• Review, negotiate, and advise on complex commercial agreements and corporate strategy, supporting due diligence, transactions, and post-merger integration.
• Co-lead the enterprise compliance program, manage outside counsel relationships and costs, and oversee corporate insurance programs.
• Directly supervise and mentor the regional legal team (3 direct reports) while fostering cross-functional collaboration across international business units.

Pacific Staffing has partnered with a global leader in agricultural business to recruit an experienced General Counsel. Reporting directly to the Chief Executive Officer, the General Counsel serves as the senior legal executive overseeing all legal affairs. In this role, you will act as a principal legal advisor to executive leadership, embedded as a trusted partner to align legal strategy, mitigate risk, oversee governance, and manage regional legal operations.

Location: Davis, CA (Hybrid setting)

Compensation:$190,000 – $220,000 / year

Travel Requirements: Up to 20% travel (regional and international)

Key Responsibilities

• Executive Advisory & Governance: Serve as primary legal advisor to the CEO and executive team; act as Corporate Secretary to maintain corporate records, support board functions, and manage governance policies.
• Legal Operations & Risk Management: Lead corporate legal strategy, budget management, policy creation, litigation oversight, and dispute resolution across the region.
• Commercial Contracts & M&A: Review, negotiate, and advise on complex commercial agreements and corporate strategy, while supporting due diligence, transactions, and post-merger integration.
• Compliance & Outside Counsel Oversight: Co-lead the enterprise compliance program, manage outside counsel relationships and costs, and oversee corporate insurance programs.
• Team Leadership & Leadership Support: Directly supervise and mentor the regional legal team (3 direct reports) while fostering cross-functional collaboration across international business units.

Qualifications

• Education & Credentials: Juris Doctor (J.D.) degree with an active license in good standing (California State Bar or eligible for Registered In-House Counsel status in California).
• Experience: 15+ years of progressive legal experience within corporate in-house legal departments, law firms, or a combination of both.
• Core Competencies: Extensive background in corporate governance, commercial contract negotiation, compliance framework implementation, and litigation management.
• Languages: Bilingual Spanish is required.
