Job description

General Counsel | Behind-the-Meter Energy Infrastructure
Boston MA, New York or Tri-State Area (Hybrid)

Talisman Advisory Partners is partnering with a growing developer, owner, and operator of behind-the-meter energy infrastructure on the appointment of its first General Counsel. The company funds and operates distributed power and thermal projects for commercial, industrial, and institutional customers, with each project financed through a mix of company equity and third-party project debt.

THE ROLE

This is a senior deal seat, not a back-office legal role. Reporting to the CEO and sitting on the executive leadership team, the General Counsel will lead the legal function and act as the company's negotiating lead on projects and contracts from term sheet through close. You will sit across the table from customers, contractors, lenders, and investors, and be accountable for getting transactions closed on commercially sound terms that protect the company and its projects.

KEY RESPONSIBILITIES
  • Deal negotiating lead: lead and close negotiations on customer and offtake agreements (energy services, PPAs, thermal energy agreements, leases), EPC contracts, and project financing documents, working closely with the CEO and the capital markets and technical leads.
  • Commercial partner on origination: shape commercial terms, risk allocation, and offtake structures early in the sales cycle, and take a front-line role with counterparty decision-makers so deals are bankable by the time they reach final negotiation.
  • Closing process: own closings from late-stage term sheet through funding, including checklists, conditions precedent, lender and investor deliverables, consents, and funding mechanics.
  • Infrastructure loan documents: negotiate project and facility-level credit agreements, security and pledge agreements, intercreditor agreements, lender consents, and draw mechanics, and support relationships with lenders and capital providers.
  • Risk alignment: ensure construction and performance risk is allocated consistently across customer, EPC, and financing documents, so project obligations are backed off to contractors and satisfy lender requirements.
  • Outside counsel management: direct outside counsel across transactional and corporate matters while retaining internal authority on terms and keeping legal spend proportionate to deal value.
  • Templates and playbooks: own contract templates, negotiation playbooks, and fallback positions, equipping the commercial team so legal is not a bottleneck as deal volume grows.
  • Structuring: advise the CEO on SPV/Holdco structures, intercreditor dynamics, lender consent rights, and equity contribution mechanics.
  • Capital raising: support financing documentation, legal diligence, investor materials, LP agreements, subscription documents, and side letters.
  • Corporate and compliance: oversee governance, board and investor consents, entity management, and regulatory compliance, including contractual requirements that protect project tax credits.
  • Disputes and general legal: manage contractor and customer claims, warranty and performance disputes, and litigation, with a bias toward pragmatic commercial resolution, plus insurance, employment, real estate, and other general legal matters.
WHAT WE'RE LOOKING FOR
  • J.D. and active bar admission in at least one U.S. jurisdiction, with eligibility to register as in-house counsel in Massachusetts
  • 10+ years of infrastructure transactional experience (law firm, in-house, or both) with a meaningful concentration in renewable, distributed, or energy infrastructure; in-house time at a developer, IPP, or infrastructure investor is strongly preferred
  • Lead-negotiator experience on offtake contracts (PPAs, energy services, or similar) and EPC contracts, negotiated directly with counterparty commercial teams
  • Direct experience negotiating infrastructure loan documentation from the borrower or lender side
  • A track record of managing outside counsel rather than deferring to it
  • Working command of SPV/Holdco finance structures, intercreditor mechanics, fund-level capital raises, and credit-support instruments
  • Executive presence to lead negotiations with C-suites, lenders, and investors, and to hold firm on key positions under pressure
  • Genuine commercial acumen: comfortable as both legal authority and dealmaker, with a working understanding of project economics
PREFERRED
  • Behind-the-meter, C&I, or institutional energy project experience, including energy-as-a-service or thermal structures
  • Experience on institutional fundraising workstreams (LP agreements, subscription documents, investor diligence, side letters)
  • Familiarity with tax equity, ITC transferability, and credit-compliance documentation
  • An ownership mindset: you treat the company's projects and capital as your own and take personal accountability for outcomes
LOCATION
  • The employer is seeking someone ideally in Boston, New York / Tri-State Area, or East Coast.
  • If applicant lives outside of the Boston area, they'd be expected to travel to the office once per month for management meetings. Costs would be covered.
COMPENSATION AND BENEFITS
  • In return, the employer is offering an above-market compensation package, a top-end suite of benefits, and meaningful equity participation in the management pool of the business (which is in growth stage, and likely to have a capital event in the medium term).
