Duties:

Represent sponsors and investors in private investment fund formations

Handle sponsor-level transactions, including general partner and management company structuring

Advise on secondary transactions involving LP interests and portfolio companies

Collaborate with multidisciplinary teams on complex fund structuring issues

Support clients with regulatory compliance and investor negotiations

Contribute to client development and maintain strong professional relationships

Provide strategic guidance throughout the fund lifecycle

Requirements:

Minimum of 5 years of experience in private investment fund formation

Proven experience with fund structuring, sponsor-level transactions, and secondary deals

Strong transaction management and client communication skills

Prior experience at a national or international law firm preferred

Demonstrated ability to manage complex matters independently

Education:

Juris Doctor (J.D.) from a nationally accredited law school

Strong academic performance required

Certifications:

Admission to the New York State Bar (active and in good standing)
