We are an established boutique firm in Denver, Colorado seeking a super resourceful and experienced corporate paralegal. Having focused on providing complex solutions to aviation and aerospace companies for 20+ years and being based within the nation’s second largest aviation and aerospace economy, we offer a dynamic atmosphere for growth in a team-oriented environment. This is a fully remote position allowing you to work from anywhere in the continental United States.
Corporate Responsibilities:
- Prepare documents for various types of entities, including corporations, LLCs, and partnerships, such as formation documents, amendments, foreign registrations, assumed business names, mergers, dissolutions, and governance documents (e.g., Bylaws and Operating Agreements).
- Communicate directly with clients to gather necessary information for preparing corporate documentation.
- File formation documents for creating new entities in various states with respective Secretaries of State or similar agencies.
- Understand the Corporate Transparency Act and requirements for initial and amended BOI reporting as per FinCEN guidelines.
- Track and maintain client requests related to BOI reporting assistance.
- Prepare and file initial and amended BOI Reports with FinCEN.
- Create minutes, resolutions, and consents; maintain corporate minute books and records.
- Research and understand annual compliance filing requirements across various states.
- Prepare and file annual state filings and reports accurately and timely.
- Maintain the firm’s internal entity database and the outside registered agent provider’s database.
- Review, understand, and summarize complex legal agreements.
- Conduct legal research and fact-finding as needed.
M&A Related Responsibilities:
- Support lawyers and senior paralegal with merger, acquisition, financing, and deal closings.
- Assist with legal project management, including creating closing checklists, preparing document sets, and post-closing documentation.
- Prepare UCC filings and perform lien and judgment searches.
- Receive training on aviation transactions, including aircraft purchases and sales, to support deal closings.
- Learn and assist with sales and use tax compliance across jurisdictions.
- Help prepare legal documents related to aviation registration and certification.
- Assist in legal research and preparation of memoranda to ensure compliance with regulations in corporate and aviation activities.
Experience:
- Minimum 10 years corporate paralegal experience.
- Minimum 10 years entity formation and maintenance experience.
- At least 5 years M&A paralegal experience.
- Experience with CTA/BOI filings.
- Comfortable with billable hour expectations in a law firm setting.
- Interest in the aviation industry is preferred.
- Proficiency in Microsoft Office Suite, Adobe Acrobat Pro, Clio, SharePoint, and DocuSign.
