Job summary

Flying Horse Capital, on behalf of a strategic partner, seeks a Fractional CFO to lead the public company transition. You will build reporting infrastructure, controls, and a team to file with confidence and operate as a public company.

You’ll work directly with the CEO, board, auditors, and legal counsel, guiding SEC reporting, GAAP compliance, and capital structure decisions throughout the readiness process.

Qualifications

• 10+ years in finance and accounting leadership (CFO/VP Finance/Controller).
• Direct SEC reporting experience; led public company reporting.
• Deep knowledge of US GAAP, SEC Reg S-X/S-K, and SOX.

Responsibilities

• Lead SEC registration and ongoing reporting (10-K, 10-Q, 8-K, and registrations).
• Close gaps in technical accounting, close processes, and financial statement prep under US GAAP.
• Design and implement SOX-compliant internal controls; prepare for 404 readiness.
• Manage the external audit relationship and PCAOB audit process.
• Build the public company finance calendar, disclosure controls, and audit committee reporting.
• Advise on capital structure, equity, and transaction accounting for listing.
• Oversee regulatory and compliance reporting relevant to payments and money movement.
• Assess finance team capability and advise on hiring or outsourcing for public ops.

About the Opportunity

Flying Horse Capital is partnering with a high-growth financial services company to find a Fractional CFO to lead its transition to public company reporting. The company builds accounts, payments, and trading solutions for the digital economy, and is preparing to become an SEC registrant.

The Role

You will own the finance function through the public company transition: building the reporting infrastructure, controls, and team needed to file with confidence and operate as a public company. You'll work directly with the CEO, board, auditors, and legal counsel.

Key Responsibilities

• Lead SEC registration and ongoing reporting (10-K, 10-Q, 8-K, and registration statements)
• Assess and close gaps in technical accounting, close process, and financial statement preparation under US GAAP
• Design and implement SOX-compliant internal controls; prepare for 404 readiness
• Manage the external audit relationship and PCAOB audit process
• Build the public company finance calendar, disclosure controls, and audit committee reporting
• Advise on capital structure, equity, and transaction accounting tied to the listing
• Oversee regulatory and compliance reporting relevant to payments and money movement
• Assess finance team capability and recommend hiring or outsourcing to support permanent public company operations

Qualifications

• 10+ years in finance and accounting leadership, including CFO, VP Finance, or Controller roles
• Direct, hands-on SEC reporting experience; has taken a company public or led reporting at a public company
• Deep knowledge of US GAAP, SEC Regulation S-X/S-K, and SOX
• Experience in financial services, fintech, payments, or trading platforms
• CPA required; Big 4 background strongly preferred
• Comfortable operating in a lean, fast-moving environment as both strategist and doer
