Job summary

Canto is seeking a Commercial Counsel to own end‑to‑end contracting operations and negotiate SaaS agreements, DPAs, and NDAs. You will scale a modern contracting function, implement CLM playbooks, and partner with Sales, Finance, and executives to balance risk with growth.

Qualifications

• 5–8 years of legal experience in SaaS or technology, in‑house or mix of law firm and in‑house.
• Strong experience negotiating commercial SaaS agreements, including MSAs, subscription agreements, DPAs, and NDAs.
• Working knowledge of data privacy frameworks, including GDPR, CCPA, and related regulations.
• Ability to build processes from scratch and establish legal infrastructure in a scaling SaaS environment.

Responsibilities

• Own negotiation and execution of commercial SaaS agreements and NDAs with defined guardrails.
• Lead end‑to‑end contracting operations and implement CLM systems and playbooks.
• Manage data privacy matters including DPAs and regulatory alignment across geographies.
• Serve as primary legal advisor to Sales, Finance, and executive leadership and manage outside counsel.
• Partner with Security on privacy, AI governance, and regulatory requirements.
