Job summary

Sterlington PLLC seeks a seasoned executive compensation attorney to join our national practice, with 4–8 years of experience in executive compensation and employee benefits.

You will work directly with two market-leading partners on sophisticated, transaction-driven matters, advising on tax and ERISA considerations, equity structures, and change-in-control protections for CEOs, founders, and boards. The role offers high visibility, autonomy, and remote flexibility with a national client base.

Qualifications

• 4–8 years of executive compensation and employee benefits experience.
• Experience at Am Law 50 or comparably sophisticated practice preferred.
• Strong experience in transaction-related compensation matters.
• Excellent tax and ERISA knowledge in executive compensation.

Responsibilities

• Advise on executive compensation and employee benefits in M&A, private equity, IPOs.
• Counsel founders, CEOs, and boards on employment agreements and equity structures.
• Design deferred compensation and incentive arrangements.
• Provide guidance on tax and ERISA considerations for compensation programs.
• Support compensation aspects of confidential corporate events.
