Job summary

Mizuho Americas is seeking a Legal Counsel specializing in equity derivatives and trading documentation in New York. The role combines law, finance, and risk to shape documentation for equity-linked transactions and front-office engagements.

The successful candidate will draft and negotiate master agreements, advise on regulatory margin rules, and coordinate with risk, operations, and collateral teams. A JD with NY Bar and 5+ years in finance law is required, with a strong derivative background

Qualifications

• J.D. from an accredited U.S. law school and NY Bar in good standing.
• 5+ years of relevant legal experience in finance or law firm.
• Strong understanding of derivatives markets and products (cleared/uncleared).
• Ability to manage multiple complex matters under tight deadlines and high pressure.
• Excellent written and verbal communication; collaboration with front-office and risk teams.

Responsibilities

• Draft, review, and negotiate ISDA Master Agreements, CSAs, master confirmations, and trade confirmations.
• Provide legal coverage for securities financing transactions including equity repos and securities lending.
• Advise on uncleared margin rules, business conduct standards, and other derivatives regulations.
• Collaborate with front-office, risk, operations, and collateral management to resolve issues.
• Maintain and enhance standard templates for recurring trades.
• Support corporate equity derivatives like ASRs and issuer forwards, and bespoke products.
