Job Summary
The ideal candidate is highly analytical, detail-oriented, and experienced in executive compensation programs, SEC reporting, IRS compliance, equity plan management, and employee stock purchase plan management. This role requires strong collaboration with the Executive Leadership Team, Finance, Legal, and Talent leadership to ensure compliance, competitive positioning, and alignment with Claritev's business strategy.
Job Responsibilities
- Oversee the administration of executive equity programs, including stock options, RSUs, and performance-based grants.
- Manage the E*TRADE/Morgan Stanley @ Work platform as the primary program administrator, ensuring accurate tracking of grant issuance, vesting schedules, transactions, and participant communications.
- Monitor and report on equity dilution, strike prices, and equity pool utilization, providing insights on trends and forecasting needs.
- Maintain accurate records and ensure compliance with SEC and IRS regulations, stock plan governance, oversee and maintain relevant SOX controls and periodic testing, and proxy reporting requirements.
- Oversee the administration of enrollment, offering periods, and purchases under Claritev's employee stock purchase plans.
- Partner with Finance to develop models that assess the competitiveness and effectiveness of executive pay structures.
- Provide insights and recommendations on adjustments to long-term incentive plans based on business performance, peer benchmarking, and market trends.
- Prepare detailed materials and presentations for board and compensation committee meetings, ensuring clarity and alignment with strategic goals.
- Support the Lead of Compensation & Benefits in responding to board and executive leadership inquiries regarding equity strategy, dilution impact, and compensation benchmarking.
- Collaborate with Legal, Finance, and HR teams to ensure best practices in executive compensation governance and compliance.
- Own and manage the equity email inbox, providing timely and accurate responses to inquiries.
- Develop educational materials and summaries to enhance understanding of equity compensation and employee stock purchase programs.
- Ensure transparency and clarity in equity grant communications, including offer letters, award agreements, and participant guides.
- Refine and own the equity strategy, balancing business objectives and shareholder interests.
- Track and analyze equity usage and pool availability for efficient forecasting and sustainability.
- Partner with leadership to design and implement grants, retention programs, and performance-based equity awards.
- Develop and evaluate staff to ensure departmental efficiency.
- Coordinate and communicate effectively across departments.
- Ensure compliance with HIPAA and other relevant regulations.
