Overview

We are partnering with a premier AmLaw firm seeking a highly accomplished ECVC Associate (4–8 years) with substantial experience in venture capital and/or M&A transactions. This is a front-line role, not a back-room drafting seat. You will serve as a strategic advisor to founders, growth-stage companies, and top-tier venture investors, leading sophisticated transactions and engaging directly with executive teams and boards of directors.

Responsibilities

• Lead venture financings from SAFEs and seed rounds through late-stage preferred equity transactions
• Advise emerging growth companies from formation through exit
• Structure and negotiate preferred stock financings and complex governance matters
• Counsel founders, CEOs, and boards on day-to-day corporate strategy and high-stakes transactions
• Represent venture capital funds and institutional investors in portfolio investments
• Manage transactions independently while mentoring junior associates
