ECM Counsel — End-to-End Deals & Compliance

Job summary

Millennium seeks an Associate General Counsel in New York to lead legal workstreams across its ECM activities and investment transactions.

You will advise on securities matters, manage end-to-end deal execution, and collaborate with investment professionals, Risk, Compliance, and Accounting to structure and close transactions. A minimum of five years’ experience is required, with strong written and verbal communication skills.

Qualifications

• At least five years of experience in corporate or capital markets law at a major U.S. firm or in-house.
• Deep experience across capital markets transactions including PIPEs, SPACs, offerings, and equity-linked products.
• Strong knowledge of the Securities Act/Exchange Act and hedge fund regulations.
• Experience with venture/growth equity investments is a plus.
• Excellent written, verbal, and interpersonal communication.

Responsibilities

• Advise on equity capital markets transactions from origination through closing.
• Independently manage end-to-end deal execution, including structuring, negotiation, documentation, and closing.
• Partner directly with senior legal colleagues, investment professionals, Risk, Compliance, Operations, Tax, and Accounting.
• Advise on federal securities law matters, SEC reporting, beneficial ownership, and governance matters.
• Manage relationships with external counsel, counterparties, and other stakeholders
