Job summary

Millennium Management LLC, a global diversified investment firm, is seeking an Associate General Counsel for Equity Capital Markets in New York. You will lead legal workstreams across ECM and related investment activities, advising on transactions from origination through closing.

The role requires at least five years of corporate or capital markets experience at a top U.S. law firm or in-house, with deep knowledge of PIPEs, SPACs, equity and debt offerings, and securities laws.

Qualifications

• At least five years of experience in corporate or capital markets at a major U.S. law firm or within a firm’s legal department.
• Deep experience across capital markets including PIPEs, SPACs, and equity/debt offerings.
• Strong command of the Securities Act and the Exchange Act, and and hedge fund regulations.
• Experience with venture and growth equity investments is a plus.
• Understanding of fiduciary duties and conflicts of interest.
• Excellent written, verbal and interpersonal communication; ability to engage stakeholders.
• Proactive, organized and efficient in a fast-paced environment.

Responsibilities

• Advise on equity capital markets and related investments from origination through closing.
• Independently manage end-to-end deal execution including structuring, negotiation, documentation, and closing.
• Partner with senior legal colleagues, investment professionals, Risk, Compliance, Operations, Tax, and Accounting to structure and execute transactions.
• Advise on federal securities law matters and SEC reporting, including Sections 13 and 16.
• Manage relationships with external counsel, counterparties and internal/external stakeholders.
