Key duties include maintaining governance documents, due diligence, and preparing materials for distribution; timekeeping and confidentiality are essential.

Qualifications

• Four-year college degree highly preferred.
• Experience with corporate governance, securities filings, and due diligence is desirable.
• Spanish language skills are a plus.

Responsibilities

• Assist with entity formations, qualifications, annual reports, and corporate governance documentation.
• Maintain corporate records, stock ledgers, capitalization tables, and equity plan documentation.
• Support securities research, filings, and due diligence.
• Draft transaction documents and assist with venture capital financings and closing activities.
• Conduct online research and gather information from clients, third parties, and government agencies.
• Track deadlines and prepare materials for distribution.
• Build client relationships while safeguarding confidentiality.
• Maintain accurate time records and uphold professionalism and attendance.
