Job summary

AMS Staffing Inc. is seeking a Corporate/M&A Associate Attorney in the DMV area with 3–5 years of mergers and acquisitions experience.

The role focuses on middle‑market transactions, from due diligence through closing, and offers exposure to sophisticated corporate matters under partner mentorship. The ideal candidate will have M&A transaction experience, strong drafting and negotiation skills, and be eligible for Bar admission in DC, Maryland, or Virginia.

Qualifications

• 3–5 years of mergers and acquisitions experience at a law firm.
• Strong drafting and negotiation skills for transactional documents.
• Excellent written, verbal, and interpersonal communication skills.
• Active Bar admission in DC, Maryland, or Virginia (or ability to waive into the appropriate jurisdiction).

Responsibilities

• Assist with mergers, acquisitions, and other middle-market corporate transactions.
• Conduct legal due diligence and prepare due diligence summaries.
• Draft, review, and negotiate purchase agreements, ancillary transaction documents, and related corporate agreements.
• Coordinate transaction closings and manage closing checklists.
• Assist with entity formations, restructurings, and other corporate governance matters.
• Advise privately held businesses on a variety of general corporate and transactional issues.
• Work directly with partners and clients throughout all phases of a transaction.
